Det inneb\u00e4r att samtliga tillg\u00e5ngar och skulder i de \u00f6verl\u00e5tande bolagen \u00f6vertas av det \u00f6vertagande bolaget. De \u00f6verl\u00e5tande bolagen uppl\u00f6ses d\u00e5 samtidigt utan likvidation.<\/p>\n\n\n\n<h5 class=\"wp-block-heading\">Fusion av hel\u00e4gt dotterbolag<\/h5>\n\n\n\n<p>Den vanligaste formen av fusion \u00e4r att ett eller flera hel\u00e4gda dotterbolag uppg\u00e5r i sitt moderbolag.<\/p>\n\n\n\n<p>Vi bist\u00e5r med att uppr\u00e4tta samtliga handlingar&nbsp;efter dina instruktioner f\u00f6r att registrera fusionen hos Bolagsverket.&nbsp;Sj\u00e4lvklart sk\u00f6ter vi all kontakt med Bolagsverket och bevakar kallelsetider och tidsfrister.<\/p>\n\n\n\n<p>F\u00f6r att uppr\u00e4tta handlingar f\u00f6r fusion av hel\u00e4gt dotterbolag beh\u00f6ver vi f\u00f6ljande uppgifter:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Namn och organisationsnummer f\u00f6r moder- och dotterbolaget<\/li><li>Aktie\u00e4gare i moderbolaget<\/li><li>Om bolagen inte har n\u00e5gon registrerad revisor beh\u00f6ver vi \u00e4ven f\u00e5 in namn och personnummer p\u00e5 en godk\u00e4nd eller auktoriserad revisor f\u00f6r granskning av fusionsplanen<\/li><\/ul>\n\n\n\n<p>Styrelsen i respektive bolag samt aktie\u00e4garna i moderbolaget skall underteckna fusionshandlingarna och sedan \u00e5ters\u00e4nda dem till oss i original.
